MUSIC DISTRIBUTION AND MUSIC PUBLISHING AGREEMENT
This DISTRIBUTION & PUBLISHING AGREEMENT (“Terms & Conditions” or “Agreement”) is a legally binding contract between Bull 47 (“Company”) and the individual or entity (“Artist”, “Label” or “Distributor”) who (Join Us) for our music distribution services. By agreeing to this Agreement and (Join us), you confirm that you have read, understood, and accepted the terms and conditions outlined below.
Key Highlights (For Better Understanding)
1. We Accept Only Original Songs:
A. All submitted content must be original and owned by you.
B. Content that violates copyright laws or infringes on YouTube or other platforms’ policies will not be accepted.
2. YouTube-Specific Guidelines:
A. We distribute music to YouTube, including YouTube Content ID.
B. Ensure that your content complies with YouTube’s guidelines, including no use of unauthorized samples, beats, or remixes.
C. If your content violates YouTube’s policies, it may lead to removal and loss of potential earnings.
3. Copyright Issues:
A. You are fully responsible for resolving any copyright disputes.
B. Bull 47 (Company) will not be liable for any claims or losses arising from copyright-related problems.
C. If you distribute a song by stealing from someone or without asking a label or artist. If tomorrow the original owner of that song expresses his displeasure or takes any government action on the song you distributed from Bull 47, you will be responsible for it. Bull 47 (Company) will not help you with this, nor will Bull 47 (Company) be responsible for it.
4. Revenue and Payment:
A. The Company takes a 30% commission on all earnings.
B. Payments are made after your earnings exceed $100 USD. The first payment is processed 5 to 6 months after your content is distributed.
C. When your earnings exceed $100 USD, you will be notified by email. We will then transfer the amount earned from your songs to the bank details you provided us within one week.
5. Termination for Violations:
A. If your content is found to be non-original or in violation of copyright laws, the Company reserves the right to:
B. Remove your content from all platforms.
C. Withhold your payments.
1. Revenue Sharing
1.1 Bull 47 (Company) will collect and distribute revenue generated by your content on platforms like YouTube, Spotify, Apple Music, and others.
1.2 From your earnings:
A. The Company will retain a 30% commission.
B. You will receive the remaining 70% of earnings.
2. Content Delivery Timeline
2.1 Content delivery to platforms may take 24 to 48 hours, depending on platform review processes.
2.2 Delays caused by errors in your submission or platform-specific issues are not the responsibility of Bull 47 (Company).
3. Copyright and Legal Responsibility
3.1 Original Content Only:
A. You confirm that all submitted content is original, created by you, and free of unauthorized samples, beats, or third-party material.
B. Unauthorized remixes, karaoke tracks, or sound-alike versions are strictly prohibited.
3.2 YouTube Guidelines and Content ID:
A. Your content will be submitted to YouTube Content ID, which identifies your work across the platform to generate revenue.
B. If your music contains copyrighted material (e.g., unlicensed samples), it may be flagged or removed by YouTube.
3.3 Responsibility for Copyright Issues:
A. You are solely responsible for resolving copyright claims or disputes.
B. If a copyright issue arises, the Company will notify you, and you must resolve it within 7 days.
C. Unresolved issues may result in:
C1. Removal of your content from all platforms.
C2. Withholding of pending payments.
3.4 Bull 47 (Company) is Not Liable:
A. The Company is not responsible for any losses or claims due to copyright violations.
B. You agree to indemnify Bull 47 (Company) against any legal actions or disputes arising from your content.
4. Payment Terms
4.1 Payments will be made when your earnings exceed $100 USD.
4.2 First Payment: Processed 5 to 6 months after your content is distributed.
4.3 Subsequent Payments: Processed monthly for all earnings above the $100 threshold.
4.4 When your earnings exceed $100 USD, you will be notified by email. We will then transfer the amount earned from your songs to the bank details you provided us within one week.
4.5 Payment delays caused by incorrect details provided by you are not the Company’s responsibility.
5. Scope of Services
5.1 Bull 47 (Company) provides audio distribution services to platforms such as Spotify, Apple Music, and YouTube (including Content ID).
5.2 No other services, such as video distribution, physical distribution, or promotions, are included unless explicitly agreed upon in writing.
6. Agreement Start Date
6.1 This Agreement becomes effective on the date you complete the (Join Us) process.
6.2 The (Join Us) date will be considered the default start date.
7. Termination
7.1 By the Company:
A. The Company reserves the right to terminate this Agreement if your content is non-original, violates platform policies, or breaches this Agreement.
B. Upon termination, all content will be removed from platforms, and pending payments may be withheld.
7.2 By You:
A. You may terminate this Agreement at any time by providing written notice to the Company.
B. Termination will not affect the Company’s right to retain its commission on any earnings prior to termination.

9. Limitation of Liability
9.1 Bull 47 (Company) is not responsible for:
A. Copyright issues or disputes related to your content.
B. Losses caused by platform errors, policy changes, or delays.
9.2 The Company’s liability, under any circumstance, is limited to the commission it retains from your earnings.
10. Governing Law and Jurisdiction
10.1 This Agreement is governed by the laws of India.
10.2 Disputes will be resolved under the jurisdiction of the courts in Punjab, India.
11. DASHBOARD:
11.1 Bull 47 will provide you with an (New Release/Dashboard) where you can log in and submit your songs to bull 47 (company) for distribution on platforms.
11.2 After joining Bull 47, you will be sent a username or password via email to login to (New Release/Dashboard).
11.3 Analytics:
A. After 4 lakh streams, Analytics will be sent to your mail. You will not see Analytics dashboard on the website.
11.4 Earnings:
A. When you reach $100 USD, you will be emailed the amount you earned from your songs. You will not see the earnings dashboard on the website.
11.5 The Bull 47 website provides options to remove copyright claims from YouTube videos, link Instagram and Facebook profiles to artists’ songs, and contact our company for any assistance.
12. Notice
12.1 Bull 47’s service costs $20 per year. You agree to this either verbally by checking the checkbox or in writing. We will deduct our company fee of $20 from the earnings of your songs each year. If your earnings are low and any of your songs go viral on YouTube, we will file a copyright claim on your YouTube video and deduct our annual fee of $20. That copyright claim will not be removed from your YouTube video until we pay our annual fee of $20.
12.2 The Artist/Label/Distributor will submit all content in a Work within a reasonable and pre-agreed time for release and distribution in an agreed format. Upon late submission We shall try best endeavors to perform the agreed Services. We are not obliged to commence Services before receipt of All necessary content. Bull 47 is not responsible for third-party failure to make content commercially available, remove content from sale, adhere to instructions submitted or fulfil any action requested in any way by You or Us. You agreed that Bull 47 can hold or reject any content from distribution if we detected the identical content on DSPs.
12.3 Artists, labels and distributors agree to this agreement with us by [joining/submit, in writing, checking the checkbox of the terms and conditions/agreement].
13. Grant of Rights.
13.1 In consideration of the sums payable to you and the services provided by us pursuant to this Agreement, you grant to us and our licensees for the term of this Agreement:
A. an exclusive world-wide license to use, reproduce, distribute, display, publicly perform, exhibit, broadcast and transmit and make available by all means and media (whether now known or existing in the future) the Works for distribution in the Service and for all promotional purposes including without limitation for the purposes of internet radio broadcast; and use, reproduce and display in the Service any trade marks, service marks or trade names relating to you and the name and likeness of you and the band/artist whose performances are embodied in the Works;and where you subscribe to our Music publishing Service you additionally grant to us in respect of the Works for the term of this Agreement:
B. a royalty free, world-wide exclusive license of the following rights as these rights are defined in the 1988 Copyright, Designs and Patents Act:
-The Performing Right
-The Distribution Right
-The New Media Communication Right
-The New Media Dubbing Right
-The Foreign Rights Management Right
-The International New Media Communication Right
-The International New Media Dubbing Right
14. Copyright:
14.1 You grant to us (on behalf of yourself) all necessary consents under the Copyright, Designs and Patents Act 1988 (‘Act’) and any modification or re-enactment thereof to enable us to make the fullest possible use of the Works in accordance with the provisions of this Agreement including without limitation any and all consents required under Part II of the Act. The Artist or Label will hold copyright at all times.
15. Acknowledgment and Acceptance
15.1 By (Join Us), you confirm that:
A. You have read, understood, and accepted this Agreement.
B. You are the rightful owner of all submitted content.
C. You will comply with YouTube and other platform guidelines.
